1. Acceptance of Terms

By accessing or using the BlueSourcing platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

BlueSourcing provides a procurement observability platform designed to give sourcing and procurement teams visibility into their consultation processes, supplier interactions, and decision workflows.

The Service is provided on an "as-is" and "as-available" basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

3. User Accounts

To access certain features of the Service, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Notifying us immediately of any unauthorized use of your account.
• Ensuring that your account information is accurate and up to date.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

4. User Obligations

When using the Service, you agree to:

• Use the Service only for lawful purposes and in accordance with these Terms.
• Not attempt to gain unauthorized access to any part of the Service or its related systems.
• Not interfere with or disrupt the integrity or performance of the Service.
• Not reverse engineer, decompile, or disassemble any part of the Service.
• Not use the Service to transmit any harmful, malicious, or unlawful content.
• Comply with all applicable laws and regulations, including data protection laws.

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to our data practices as described in the Privacy Policy.

You retain ownership of all data you submit to the Service. You grant us a limited license to use, process, and store your data solely for the purpose of providing the Service.

6. Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by SHARETEAL and protected by intellectual property laws. All rights not expressly granted in these Terms are reserved.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you use our trademarks, logos, or brand elements without prior written consent.

7. Payment Terms

Certain features of the Service may require payment. If you subscribe to a paid plan:

• Fees are billed in advance on a monthly or annual basis, as selected at the time of subscription.
• All fees are non-refundable except as required by applicable law.
• We reserve the right to modify pricing with at least 30 days advance notice.
• Failure to pay may result in suspension or termination of your access to paid features.

8. Limitation of Liability

To the maximum extent permitted by applicable law, BlueSourcing and SHARETEAL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service.

Our total aggregate liability for all claims related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless BlueSourcing, SHARETEAL, and their officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service or your violation of these Terms.

10. Termination

Either party may terminate the use of the Service at any time. We may terminate or suspend your access immediately, without prior notice, if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. We will make your data available for export for a period of 30 days following termination, after which it may be deleted.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Paris, France.

Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by email. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
